1. About MNgeek Cloud IT Pros
MNgeek Cloud IT Pros ("MNgeek," "we," "us," or "our") is a managed IT service provider based in Minnesota. We provide managed IT support, cybersecurity services, endpoint protection, cloud and Microsoft 365 solutions, IT consulting, and technology procurement services to small and mid-sized businesses.
These Terms & Conditions govern your use of our website at mngeek.com and the services we provide. For clients engaged under a formal service agreement, the terms of that agreement take precedence over these general terms where they conflict.
2. Use of This Website
You may use this website for lawful purposes only. You agree not to:
- Use the site in any way that violates applicable local, state, national, or international laws or regulations
- Attempt to gain unauthorized access to any part of the site, server, or systems connected to the site
- Transmit any unsolicited or unauthorized advertising or promotional material
- Use automated tools, bots, or scrapers to access or collect data from the site without our written consent
- Impersonate MNgeek, our employees, or any other person or entity
- Introduce malware, viruses, or any other harmful code to the site or its infrastructure
We reserve the right to terminate access to this website for any user who violates these terms.

The services described on this website are provided to business clients under separate written service agreements. A description of services on this website does not constitute a binding offer or guarantee of service availability, pricing, or response times.
Services include, but are not limited to:
- Managed IT Support (help desk, remote monitoring, on-site support)
- Cybersecurity (threat detection, risk assessments, incident response)
- Endpoint Protection (EDR/antivirus deployment and management)
- Cloud & Microsoft 365 (deployment, migration, licensing, administration)
- IT Consulting & vCIO (strategic planning, budgeting, vendor management)
- Technology Procurement (hardware, software, and licensing as an authorized reseller)
Specific service levels, response times, pricing, and deliverables are defined in individual client service agreements (MSA/SLA). Contact us to discuss your needs and receive a formal proposal.
4. Pricing and Payment
Pricing shown on this website is intended as a general guide and is subject to change without notice. Final pricing is determined based on your specific environment, number of users, and service requirements as outlined in a signed service agreement.
For clients under a service agreement:
- Monthly recurring fees are invoiced in advance at the beginning of each billing period
- Project-based and one-time fees are invoiced upon completion or per agreed milestones
- Payment is due within 30 days of invoice date unless otherwise agreed in writing
- Past-due balances may be subject to a late fee of 1.5% per month
- MNgeek reserves the right to suspend services for accounts more than 60 days past due

All content on this website — including but not limited to text, graphics, logos, images, and software — is the property of MNgeek Cloud IT Pros or its content suppliers and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any content on this site without our express written permission. You may share links to our website and reference our services for legitimate purposes.

6. Third-Party Products and Reseller Services
MNgeek is an authorized reseller for certain third-party products and platforms. When you purchase software licenses or third-party products through MNgeek:
- You agree to the end-user license agreements (EULAs) and terms of service of the respective vendor
- MNgeek acts as a reseller and is not responsible for third-party platform outages, data loss, or changes to third-party pricing or features
- Vendor-imposed license changes, price increases, or product discontinuations will be communicated to clients as soon as practicable
7. Limitation of Liability
To the fullest extent permitted by law, MNgeek Cloud IT Pros shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, profits, or business interruption — arising from your use of our website or services, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising out of or related to our website or services shall not exceed the amount paid by you for services in the three (3) months preceding the event giving rise to the claim, or $500, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
8. Disclaimer of Warranties
This website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Clients are similarly expected to treat MNgeek's pricing, processes, and proprietary tools as confidential.
10. SMS Messaging Terms
MNgeek Cloud IT Pros offers an SMS messaging program via RingCentral for communication with authorized managed IT clients. By opting in to SMS communications, you agree to the following terms.
Types of Messages
You may receive the following types of SMS messages from MNgeek: IT support ticket updates and status notifications, system alert and incident notifications, scheduled maintenance window reminders, appointment confirmations and scheduling updates, and follow-up on active service requests. MNgeek does not send promotional or marketing SMS messages.
How to Opt In
You may opt in to receive SMS messages by signing a service agreement that includes SMS consent, or by texting START to our RingCentral business number at (612) 412-1144. By opting in, you confirm you are the account holder or authorized user of the mobile number provided. Consent to receive SMS messages is not a condition of receiving services from MNgeek.
Messaging Frequency
Message frequency may vary based on your active support needs and IT environment activity.
Message and Data Rates
Message and data rates may apply. MNgeek does not charge for SMS communications, but your mobile carrier's standard messaging and data rates may apply.
How to Opt Out
To opt out at any time, text STOP to any message from MNgeek. You will receive a single confirmation and no further messages will be sent. To re-enable messages, text START at any time.

11. Termination of Services
Either party may terminate a service agreement in accordance with the notice provisions in that agreement. In the absence of a specific agreement:
- Either party may terminate with 30 days written notice
- MNgeek reserves the right to terminate services immediately in cases of non-payment, abuse, or illegal use
- Upon termination, MNgeek will assist with reasonable knowledge transfer and return of client-owned data and credentials
12. Governing Law
These Terms & Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any legal proceedings shall be brought in the state or federal courts located in Minnesota, and you consent to the personal jurisdiction of such courts.
13. Changes to These Terms
We reserve the right to update these Terms & Conditions at any time. Changes will be posted to this page with an updated "Last updated" date. For existing clients under a service agreement, material changes will be communicated directly. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
